These terms are a contract between SimplyPIM ("we", "us") and the business that opens an account ("you"). By signing up or using the service you agree to them. If you are accepting for a company, you confirm you are able to bind it.
1. The service
SimplyPIM is web-based product information management software: catalogue, attributes, pricing, stock, relations, imports and exports, search, AI enrichment, the storefront pixel, and the associated API. We may improve or change features over time; we will not materially reduce the core service you are paying for during a paid term without telling you first.
2. Trials
New accounts start with a 14-day free trial of the full product. No payment details are taken. At the end of the trial your account becomes read-only until a plan is activated; your data is not deleted for at least 90 days, and you can export it at any time.
3. Plans, invoicing and taxes
Plans are priced by product count and billed monthly by invoice — there is no self-serve checkout, and nothing is charged automatically. Prices exclude VAT. Invoices are due within 14 days. If an invoice is seriously overdue we may suspend the account after warning you; suspension does not delete data. You can cancel at any time with effect from the end of the paid period.
4. Your data
Your catalogue is yours. You retain all rights to the data you load into SimplyPIM; we process it only to provide the service, as described in the privacy policy. You can export your data at any time, and built-in backups let you snapshot and restore it yourself. You are responsible for having the rights to the content you import.
5. AI features
AI enrichment produces drafts for your review. It can be wrong. You are responsible for what you approve and publish; do not treat AI output as a substitute for checking regulated claims (safety, compliance, pricing accuracy) yourself.
6. Acceptable use
You agree not to use SimplyPIM to break the law, to infringe others' rights, to distribute malware, to attempt to access other customers' data, or to resell the service without our agreement. API use must stay within documented rate limits; we may throttle traffic that threatens the service for others.
7. Accounts and security
Keep your credentials and API keys confidential and tell us promptly at security@simplypim.co.uk if you believe an account is compromised. You are responsible for actions taken with your credentials until you do.
8. Availability and support
We aim to keep SimplyPIM available around the clock, but the service is provided "as is" and we do not promise it will be uninterrupted or error-free. Planned maintenance is announced in advance where practical. Support is by email on every plan, with priority and dedicated support on higher tiers.
9. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded (including for fraud, or death or personal injury caused by negligence). Otherwise, neither party is liable for indirect or consequential loss, and our total liability in any 12-month period is capped at the fees you paid us in that period. The service is not designed for use where its failure could cause personal injury.
10. Ending the agreement
You may close your account at any time. We may terminate for material breach that is not fixed within 30 days of notice, or for non-payment. After closure we delete your data as described in the privacy policy — export it first if you need it.
11. General
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If we change these terms materially we will give account owners at least 30 days' notice by email; continued use after that is acceptance. If any clause is found unenforceable, the rest stand.
